PREMIUM TERMS OF SERVICE

Effective as of February 1, 2019

Little Star Media, Inc. (“Little Star Media”, “Rad TV”, “we”, “us” or “our”) allows you to access certain premium features or content in exchange for a one-time or recurring fee, as applicable to the relevant features or content (each a “Premium Service” and collectively, the “Premium Services”). Your transactions and any other use of the Premium Services are subject to these Little Star Media Premium Service Terms of Service (“Premium Service Terms”).

Your Acceptance

By using a Premium Service, you signify your agreement to (1) these Premium Service Terms; and (2) Rad TV’s Terms of Service, Privacy Policy, and Copyright Infringement Notification Policy, and all other terms and conditions that generally apply to the Rad TV website. We’ll refer to these documents together as the “Terms”. Please read the Terms carefully. If you do not understand the Terms, or do not accept any part of them, then you may not use the Premium Services. Each time you place an order for a Premium Service, you enter into a separate contract for services on these Terms. When you complete a purchase for a Premium Service, you signify that you wish to enter into a binding contract for the provision of the applicable Premium Service.

Payment, Refund and Cancellation Policy

Payment: Rad TV accepts payment via the current payment method indicated prior to purchase, which may include credit card, cryptocurrency, and any other form of payment that we make available to you. You must have a valid accepted form of payment in order to purchase a Premium Service. You agree to abide by any relevant Terms of Service or other legal agreement that governs your use of a given payment processing method. Prices for the Premium Services may change at any time, and Rad TV does not provide price protection or refunds in the event of a price reduction or promotional offering. You agree to pay for the Premium Service that you order. Little Star Media will charge your credit card or other form of payment for the price listed on the applicable Premium Service offer, along with any additional amounts relating to applicable taxes, bank fees and currency fluctuations (as applicable).

The Premium Services are either automatically renewing subscriptions or one-time payments. For subscriptions, you agree that Rad TV will charge the payment method on file on the first day of each billing period of the applicable Premium Service, and if the payment method on file becomes invalid due to an expired credit card or other similar reason and we are unable to charge you on the next billing period, Little Star Media reserves the right to immediately revoke your access to the Premium Service you have ordered until you update your payment method. If you fail to update your payment method within a reasonable amount of time, Little Star Media may cancel your subscription. For one-time payments either in cryptocurrency or fiat currency, you are under no obligation to pay again for Services rendered under that one-time purchase option. Rad TV reserves the right to include services outside of the one-time purchase option and only in the subscription or as micro-transactions or individual content purchases.

Stream Pass: The Stream Pass is a Collectible NFT that unlocks access to the Rad TV Premium Service. Given it’s purchase and ownership on the blockchain, it can be resold to another user, traded, or gifted without intervention from Rad TV. Once a Stream Pass is removed from one wallet and sent to another wallet via sale or transfer, the Premium Service will no longer be available to the original holder and will only be available to the new holder upon their account creation and wallet connection to the Rad TV Service. There are no refunds available for, or associated with, the Stream Pass, and any loss occurred by the holder of the Stream Pass is not the responsibility of Rad TV. Losing access to your wallet containing your Stream Pass, sending your Stream Pass to an unknown wallet accidentally, or theft of your Stream Pass by any means will result in your loss of access to the Premium Service.

Taxes: If Little Star Media is required to collect or pay any taxes in connection with your purchase of a Premium Service, such taxes will be charged to you at the time of each purchase transaction. Additionally, if required by law, you are responsible for reporting and paying certain taxes in connection with your purchase and use of the Premium Service, Stream Pass, or sale of the Stream Pass or related cryptocurrencies. Such taxes may include duties, customs fees, capital gains, or other taxes (other than income tax), along with any related penalties or interest, as applicable to your purchase or country of purchase.

Cancellations: You may cancel your Premium Service Subscription any time before the end of the current billing period and the cancellation will take effect on the next billing period. You will retain access to the Premium Service from the time you cancel until the start of the next billing period, and you will not receive a refund or credit for any remaining days in your current billing period. It is not possible to cancel a one-time purchase access to the Premium Service, nor is it possible to cancel the Stream Pass. If you accidentally or inadvertently create multiple subscriptions, or buy one-time access via credit card or Stream Pass and do not cancel your subscription in a timely fashion, Rad TV is not responsible for refunds, and any financial impact resulting from accidental multiple subscriptions simultaneously is the sole financial responsibility of the subscriber.

Accessing Premium Services

Device and Usage Requirements. Certain components of the Premium Services may require you to use a device that meets the system and compatibility requirements for such component of the Premium Services, which may change from time to time. For further information on supported devices and technical requirements, visit https://radtv.com.

Geographic Restrictions. The Premium Service is controlled and offered by Rad TV from its facilities in the United States of America. Rad TV makes no representations that the Premium Services are appropriate or available for use in other locations. Those who access or use the Premium Services from other jurisdictions do so at their own volition and are responsible for compliance with local law.

License

Your use of the Premium Services must be only for personal, non-commercial use. You are receiving a non-exclusive license to access the applicable Premium Service and all rights, title and interest in the applicable Premium Service (including any content offered through the Premium Service) not expressly granted to you in these Terms are reserved by Rad TV and its licensors. If Rad TV reasonably determines that you violated any of the terms and conditions of the Premium Service Terms, your rights under this Section 4 will immediately terminate and Rad TV may terminate your access to the Premium Service and/or your Rad TV account without notice and without refund to you.

Restrictions

When you use the Premium Services, you may not (or attempt to):

  • use the Premium Services in an illegal manner or for an illegal purpose;

  • share your Rad TV account password with someone else to allow them to access the Premium Services that such person did not order;

  • copy, sell, rent, or sub-license the Premium Services to any third party;

  • circumvent, reverse-engineer, modify, disable, or otherwise tamper with any security technology that Little Star Media uses to protect the Premium Services or encourage or help anyone else to do so;

  • access the Premium Services other than by means authorized by Rad TV; or

  • remove any proprietary notices or labels on the Premium Services.

Changes

Changes or Discontinuation of the Premium Services. Rad TV reserves the right to change the availability of the Premium Services. In addition, we reserve the right to modify, suspend, or discontinue the Premium Services with or without notice to you and we will not be liable to you or any third party for any such modifications, suspension, or termination.

Removal or Unavailability of Content. In certain cases, content available within the Premium Services may become unavailable due to restrictions from our partners who license us such content or other legal or policy reasons. Rad TV will have no liability to you for any such unavailability.

Changes to the Premium Service Terms. Rad TV may, in its sole discretion, modify or revise these Premium Service Terms at any time, and you agree to be bound by such modifications or revisions. Although we may attempt to notify you when major changes are made, you should periodically review the most up-to-date version on this page. By continuing to access the Premium Services, you signify your agreement to the new Premium Service Terms. If you refuse to accept the updated Premium Service Terms then you may not buy or continue using the Premium Services.

Communications

By using the Premium Services, you consent to receiving communications from us including marketing communications such as newsletters about Rad TV features and content, special offers, promotional announcements, and customer surveys, to your registered email address or via other methods. If you no longer want to receive such communications, simply contact support@rad.live.

Other Terms

You acknowledge and agree that certain content available in the Premium Services may be considered offensive to some people and that such content may not be labeled as such. Additionally, certain descriptions of Premium Services or content available in the Premium Services are not guaranteed to be accurate. You agree to use the Premium Services at your own risk and, subject to applicable laws, Rad TV will have no liability to you for any content that you find offensive.

You agree that you are solely responsible for (and that Rad TV has no responsibility to you for) your use of the Premium Services, any breach of your obligations under the Premium Service Terms, and for the consequences (including loss or damage of any kind which Rad TV may suffer) of any such breach.

You acknowledge and agree that you are responsible for paying all fees in a timely manner and for providing us with a valid credit card or other form of payment acceptable to Rad TV. IN ADDITION, YOU ACKNOWLEDGE THAT YOUR ONLINE ACCEPTANCES CONSTITUTE A BINDING AGREEMENT BETWEEN YOU AND RAD TV AND SIGNIFY YOUR INTENT TO BE BOUND TO SUCH ONLINE ACCEPTANCES.

SUBJECT TO APPLICABLE LAWS, IN NO EVENT WILL RAD TV OR ITS AFFILIATES’ AGGREGATE LIABILITY FOR ANY AND ALL CAUSES OF ACTION BROUGHT BY YOU OR YOUR AGENTS ARISING FROM OR RELATED TO THE PREMIUM SERVICES EXCEED THE PAYMENTS ACTUALLY RECEIVED AND RETAINED BY RAD TV FROM YOU FOR THE PREMIUM SERVICES.

Unless not permitted by applicable law, you acknowledge and agree that that these Premium Service Terms, your transaction for the Premium Services, and your relationship with Rad TV under these Premium Service Terms shall be governed by the laws of the State of Texas, U.S.A., without respect to its conflict of laws principles, and any claim or dispute that arises in whole or in part from your use of the Rad TV Services, Website, and the Premium Services will be decided exclusively by a court of competent jurisdiction located in Dallas County, Texas, U.S.A.
